TERMS AND CONDITIONS OF USE

These are the terms and conditions under which we (iTem Registry) provide the iTem Registry services to you (subscriber). iTem Registry and the Subscriber shall be jointly referred to as the �Parties�

Please read these terms and conditions carefully before you subscribe to our services, as they will inform you about our services. The extent of our liability to you and any amendments or termination hereof.

Note: When Signing up for any of the iTem Registry services, you are entering into a binding contract with us and accepting the terms and conditions of use mentioned below.

You can always access the terms of your contract with us for our services on the iTem Registry website.

1. Registration and creation of iTem Registry account:

a. In order for you to enjoy the full extent of our services, you will be required to

i) Register online at itemRegistry.com.ng and create a user account with us,

ii) Make payment and

iii) Receive our services. Our services will enable you to register your electronic items in our database.

b. Once you register online, we shall send you an email activation link.

c. The Activation link sent to you will only be valid for a period of 24 hours from the time it is sent to you. Failure to use the Activation link within this stipulated time will invalidate your registration.

d. Once your account has been created you will be required to make payment through our website in order for your account to be activated. Having successfully completing the activation process, you will receive a welcome email from us to the phone number/email address you have provided.

2. Commencement of contract

a. The contract between us and in respect of our services will come into effect the moment we confirm payment for your subscription to our services within the 24-hour period the activation link is valid.

3. Personal Information  

a. In order to provide you with the iTem Registry services, we will require certain personal information from you. Please ensure that you provide us with the provided information accurately and within a reasonable time, failure to do so may lead to the termination of this contract. Failure to provide us with this information accurately will lead to all liabilities being yours to bare.

4. Contract Changes &Cancellations

a. iTem Registry reserves the right to make minor changes to the contract on our website to reflect changes in any relevant laws or regulatory requirements and or to implement minor technical adjustments and improvements to the way we deliver our services to you.

b. We may also make more significant changes to our terms of service, following which we will notify you of such changes as soon as practicable and within reasonable time.

c. Should you no longer wish to subscribe to our services as a result of the changes we make in our terms of service, then you can cancel your contract with us by sending an e-mail stating your intentions to cancel to our Support Email.

5. Our Services and Obligations

a. Once we accept your user account registration, we agree to provide the following services to you for a fee under the following terms and conditions;

i. We shall allow you to register information about you and your personal items in our database. You can add, remove, edit, or view that information by accessing your user account on our website at any time.

ii. We shall from time to time, as much as the law permits, make that information available to the Nigerian Police Force who may use the information for public interest purposes and to help reunite you with your item if it is lost or stolen. Kindly refer to our privacy policy for more details about how your information may be used or shared.

iii. You are obligated to provide us with accurate information about items that you own or for which you are contractually or legally responsible. You shall not provide information about properties owned by third parties. In the event you do so, you shall bare all liability attached to same. In light of the above, we will require that you provide proof of ownership of any item you choose to register in our database.

iv. Our services do not give you any special ownership and recovery rights in relation to the item you register. If the item you register is recovered by the Nigerian Police Force, the recovery and or return of the items to you will be explicitly subject to their own internal policies and procedures.

v. The fact that you have registered an item on our database shall not confer any protection or mitigate any risk of theft of the registered item. Your use of our services also does not guaranty that your item will be recovered and returned to you if it is lost or stolen. The recovery and return of items remains the purview The Nigerian Police and theirs alone.

6. System Maintenance

a. Whilst we stand on our commitment to making sure our services are available to you at all reasonable times, we cannot guaranty a round the clock availability as we may from time to time take our services offline for maintenance purposes.

b. Whilst we undertake to do our best to provide a safe environment for users on our website, we do not guaranty holistic viral and bug free protection and therefore urge users to use appropriate cyber protection software�s on the devices they use to visit our website and access our services.

7. Charges for Our Services

a. Our services will be provided to you for a fee, such fees representing charges for subscription to our services. Please refer to our table of fees [www.itemregistry.com.ng] for more information about subscription charges.

8. Duration of Services

a. Upon subscription you will be given access to our services through our website and you will be able to register your items and enjoy our services at that point.

b. Our services will only be available to you for the length of time for which you have validly subscribed. Upon the expiry of your subscription we will automatically discontinue to provide you our services.

c. Prior to the expiration of your access to our services, we shall give you timely notice and provide you with an option to renew your subscription should you choose to.

d. If you no longer wish to receive our services, you may communicate your intention to cancel by sending a request to us at [email protected]. We will administer this change within a reasonable time. Please note that in the event that you decide to cancel at your own volition, you will not be eligible for a refund of any amount payed as subscription fees.

9. Our Rights to Cancel

a. iTem Registry reserves the right to cancel or end the contract between us on the following grounds:
i. When we are convinced that you have misused our services. For the purposes of this contract a misuse shall include but is not limited to situations where you use our services in a way which is not permitted by the law and by these terms and conditions or where there is fraud or reasonable grounds to suspect fraud;

ii. When we have changed our terms of service and you do not agree with the changes made; or

iii. If any payment that you owe us is declined, rejected or reversed.

10. Password Security

a. We reserve the right to require you to change any or all of the passwords used by you in connection with your user account on our website and or our services.

11. Copyright & Intellectual Property

a. You hereby acknowledge and agree that all copyright, trademarks and all other intellectual property rights on our website, relating to our services and all aspects of them are owned by us.

12. Prior Understandings

a. These terms of service embody the entire agreement and understanding between parties hereto and supersede any and all prior agreements, arrangements and understandings relating to the use of our services herein.
b. We undertake to provide our services to you adhering to the terms set forth using reasonable care and skill.

c. Kindly note that if you use our services for any commercial, business or re-sale purpose we will have no liability to you for any loss of profits, loss of or damage to reputation, loss of contracts, loss of opportunity, loss of business, loss or depletion of goodwill or any other loss you may purport to have suffered.

13. Data Protection &Privacy Policy

a. In order to discharge our contractual obligations towards you we will collect personal information in connection with your use of our services and our website. 14. Customer Complaints Procedure

a. If you have any complaints in relation to our services, then please contact us using the contact page.

15. Force Majeure

a) We shall be under no liability for any delay or failure to deliver our services or otherwise perform any obligation under these terms and conditions if the delay or failure is caused by circumstances beyond our reasonable control.

16. Severability

a. If it is found in a final judgment by a court of competent jurisdiction (not subject to further appeal) that any term or provision hereof is invalid or unenforceable,

i) The remaining terms and provisions hereof shall be unimpaired and shall remain in full force and effect and

ii) the invalid or unenforceable provision or term shall be replaced by a term or provision that is valid and enforceable and that comes closest to expressing the intention of such invalid or unenforceable term or provision.

17. Jurisdiction

a. These terms and conditions are governed by and construed in accordance with all applicable Laws of the Federal Republic of Nigeria.

18. Transfer of Rights

a. We may transfer our rights and obligations under this contract to another organisation and shall notify of such transfer should we decide to do so.
